1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and BusinessFinder.ae ("Company," "we," "us," or "our"), governing your access to and use of the BusinessFinder.ae website, mobile applications, AI tools, and all associated services (collectively, the "Services").

By creating an account, browsing listings, using our AI tools, or otherwise engaging with our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy, which is incorporated herein by reference.

If you are using the Services on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms. You must be at least 18 years of age to use our Services.

2. Description of Services

BusinessFinder.ae is an online marketplace and business services platform operating in the United Arab Emirates. Our Services include, but are not limited to:

• A marketplace for buying and selling physical businesses, digital businesses, franchises, and commercial properties across the UAE.
• AI-powered tools including a Business Idea Generator, Business Plan Generator, Valuation Calculator, Profit Calculator, and Market Research tool.
• A directory of professional service providers including business setup consultants, PRO services, accounting firms, and marketing agencies.
• Professional business services facilitated through partnerships with licensed third-party providers.
• Content including blog articles, guides, and educational resources for entrepreneurs.

BusinessFinder.ae acts as an intermediary platform connecting buyers, sellers, and service providers. We are not a party to any transaction between users and do not broker, negotiate, or facilitate the actual sale or purchase of any business. All transactions are conducted solely between the involved parties at their own risk.

3. User Accounts

To access certain features of our Services, you must register for an account. When creating an account, you agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information to keep it accurate and complete.
• Maintain the security and confidentiality of your account credentials.
• Accept responsibility for all activities that occur under your account.
• Notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, not current, or incomplete, or if we have reasonable grounds to suspect fraud, abuse, or violation of these Terms.

4. Business Listings

Users with accounts may create listings for businesses, franchises, or commercial properties. By posting a listing, you represent and warrant that:

• You are the lawful owner or authorized representative of the business or property being listed.
• All information provided in the listing is accurate, complete, and not misleading.
• Financial data, including revenue and profit figures, is truthful and verifiable.
• The business or property complies with all applicable UAE laws and regulations.
• You have the legal right to sell or transfer the business or property.

We reserve the right to review, modify, or remove any listing that violates these Terms, contains false or misleading information, or is otherwise objectionable. Featured and premium listings undergo additional verification, but such verification does not constitute an endorsement or guarantee by BusinessFinder.ae.

Buyers are solely responsible for conducting their own due diligence before entering into any transaction. We strongly recommend engaging licensed legal and financial advisors for all business transactions.

5. Fees and Payments

Certain features of our Services require payment of fees, including but not limited to:

• Listing Fees: Basic listings start from AED 99. Featured listings with enhanced visibility range from AED 199 to AED 999.
• Subscription Plans: Monthly subscription plans are available from AED 99/month for frequent sellers.
• Service Fees: Professional services booked through the platform may incur additional fees as specified by the service provider.
• AI Tool Credits: While basic AI tool usage is free, advanced features may require credits available through subscription plans.

All fees are listed in UAE Dirhams (AED) and are inclusive of VAT where applicable. Payment is processed through our secure payment gateway at the time of purchase.

We reserve the right to modify our fees at any time. Fee changes will be communicated via email and through a notice on our platform at least 30 days before they take effect.

6. Intellectual Property

All content on BusinessFinder.ae, including but not limited to the website design, logos, graphics, text, software, AI models, and the overall arrangement thereof, is the exclusive property of BusinessFinder.ae or its licensors and is protected by UAE and international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use our Services for their intended purposes. You may not:

• Copy, reproduce, distribute, or create derivative works from any content on the platform without our express written permission.
• Use any data mining, robots, scraping tools, or similar data gathering methods on the platform.
• Use our trademarks, logos, or branding without prior written consent.
• Reverse engineer, decompile, or disassemble any software or AI models used in our Services.

By posting content on the platform (such as listing descriptions or images), you grant BusinessFinder.ae a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and distribute such content in connection with operating and promoting our Services. You retain ownership of your original content.

7. User Conduct

When using our Services, you agree not to engage in any of the following prohibited activities:

• Posting false, misleading, deceptive, or fraudulent listings or information.
• Impersonating any person or entity or misrepresenting your affiliation with any person or entity.
• Engaging in any form of harassment, discrimination, or abusive behavior toward other users.
• Attempting to circumvent the platform to avoid fees or conduct transactions outside of our systems.
• Uploading viruses, malware, or any code that may harm the platform or other users.
• Using the platform for any illegal purpose or in violation of any UAE laws or regulations.
• Interfering with or disrupting the integrity or performance of the platform.
• Collecting personal information of other users without their consent.

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates these conduct rules, including removing listings, suspending or terminating accounts, and reporting violations to law enforcement authorities.

8. Limitation of Liability

To the fullest extent permitted by applicable UAE law, BusinessFinder.ae, its directors, employees, partners, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, resulting from:

• Your access to or use of (or inability to access or use) the Services.
• Any conduct or content of any third party on the Services.
• Any content obtained from the Services.
• Unauthorized access, use, or alteration of your transmissions or content.
• Any transactions or interactions between buyers and sellers facilitated through the platform.
• Any errors, inaccuracies, or omissions in listings, valuations, or AI-generated content.

In no event shall our total liability to you for all claims arising out of or relating to the use of our Services exceed the amount you have paid to BusinessFinder.ae in the twelve (12) months preceding the claim.

9. Disclaimers and Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE SPECIFICALLY DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that: (a) the Services will be uninterrupted, timely, secure, or error-free; (b) the results obtained from the use of our Services will be accurate or reliable; (c) the quality of any content, products, services, or information obtained through the Services will meet your expectations; or (d) any errors or defects in the Services will be corrected.

AI-generated content, including valuations, business plans, market research, and idea suggestions, is provided for informational purposes only and should not be considered professional financial, legal, or business advice. Always consult qualified professionals before making business decisions.

10. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms.

You may terminate your account at any time by contacting our support team or through your account settings. Upon termination:

• Your right to use the Services will immediately cease.
• Any active listings will be removed from the platform.
• Outstanding fees or charges will become immediately due.
• We reserve the right to delete or retain your data in accordance with our Privacy Policy.

Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity clauses, and limitations of liability.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law provisions. The UAE Federal Laws applicable to these Terms include, but are not limited to, the Federal Law No. 5 of 1985 on the Civil Transactions Law, Federal Law No. 18 of 1993 on the Commercial Transactions Law, and the UAE Cybercrime Law (Federal Decree-Law No. 34 of 2021).

For users located in the Dubai International Financial Centre (DIFC), these Terms may be governed by DIFC laws and regulations. For users in the Abu Dhabi Global Market (ADGM), ADGM regulations may apply where relevant.

12. Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms shall be resolved as follows:

Informal Resolution: You agree to first attempt to resolve any dispute informally by contacting our support team. We will attempt to resolve the dispute within 30 days.

Mediation: If the dispute is not resolved informally, either party may submit the dispute to mediation administered by the Dubai International Arbitration Centre (DIAC) in accordance with its mediation rules.

Arbitration: If mediation is unsuccessful, the dispute shall be finally resolved by arbitration administered by DIAC in accordance with its arbitration rules. The seat of arbitration shall be Dubai, UAE. The language of the arbitration shall be English. The arbitral award shall be final and binding on both parties.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect by posting the updated Terms on our website and sending an email notification to registered users.

By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Services.
